ARIV TERMS AND CONDITIONS OF USE Last Updated: August 7, 2026 Welcome to Ariv! These Terms and Conditions (“Terms”) govern your access to and use of the Ariv platform, including ArivRide, Ariv On Demand, Ariv Marketplace, and any related websites, mobile applications, and services (collectively, the “Services”). The Services are provided by Ariv Technologies Inc. (“Ariv,” “we,” “us,” or “our”). By creating an Ariv account, downloading our app, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services. 1. The Ariv Services Ariv offers a suite of on-demand services through its platform: ArivRide: A ride-hailing service that connects you with independent transportation providers. Ariv On Demand: A local delivery and errand service connecting you with couriers and taskers. Ariv Marketplace: A venue that allows you to browse and book services from third-party providers (e.g., car rentals, event transportation, specialty logistics). Ariv Marketplace acts solely as a booking platform; the services are provided by and are the responsibility of the independent vendors. Ariv itself does not provide transportation, delivery, or the services listed on the Marketplace. All rides, deliveries, and third-party services are performed by independent contractors or third-party businesses, not by Ariv employees. 2. Account Registration and Security To use most Services, you must create an account. You agree to: Provide accurate, current, and complete information. Maintain the security of your password and account credentials. Not share your account with anyone else. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use or security breach. We may suspend or terminate your account if any information you provide proves to be inaccurate, fraudulent, or in violation of these Terms. 3. Your Daily Data-Use Consent Ariv is committed to continuously improving your experience. To help us do that, you acknowledge and agree as follows: By logging into your Ariv account and using any Ariv Service on any given day (e.g., taking an ArivRide trip, placing an Ariv On Demand order, or browsing the Ariv Marketplace), you automatically grant Ariv the right to collect, process, and use your personal data — including location data, trip history, search queries, preferences, device information, and usage patterns — for the purpose of analyzing and enhancing the user experience, personalizing your interactions, developing new features, and improving the overall safety and efficiency of the Services. This daily-use consent is ongoing and applies each day you interact with the Services. You may withdraw this consent for future data processing at any time by ceasing to use the Services or by closing your account, but such withdrawal will not affect data processed prior to that point. However, if you do not log in or use the Services on a given day, no new daily consent is given for that day, though Ariv may continue to use aggregated, de-identified data derived from your previous activity in accordance with our Privacy Policy. Important: Ariv does not sell your personal data to third parties. We do not trade your name, contact details, or individual trip information for third-party advertising or data-broker profit. We may share necessary data with carefully selected service providers (such as cloud hosting, customer support, mapping, and payment processors) who help us operate the Services, and we require those providers to adhere to strict confidentiality and data-security obligations. Any data sharing is done solely to facilitate the Services, not for their independent marketing purposes. For more details, please review our Privacy Policy. 4. User Conduct and Responsibilities When using the Services, you agree to: Comply with all applicable laws, regulations, and traffic rules. Treat drivers, couriers, Marketplace vendors, and other users with respect. Harassment, discrimination, or threatening behavior will result in immediate account termination. Not use the Services for any illegal, fraudulent, or unauthorized purpose. Not interfere with or disrupt the Services, servers, or networks. Not misuse the rating or feedback systems. Be solely responsible for any items you transport or deliver through Ariv On Demand, and ensure you have the right to transport them. Ariv may, at its sole discretion, monitor user activity and remove content that violates these Terms. 5. Payments, Pricing, and Fees Pricing: Fares for ArivRide and Ariv On Demand are based on distance, time, demand, and any applicable surge or dynamic pricing. The total fare (including taxes, tolls, and surcharges) will be displayed in the app before you confirm a trip or delivery. For Ariv Marketplace, the prices are set by the individual vendor and are subject to the vendor’s own cancellation and refund policies. Payment Method: You must link a valid credit card, debit card, or other accepted payment method. You authorize Ariv to charge your chosen payment method for all services booked, including any tips, cancellation fees, wait-time fees, and damage charges. Cancellation Fees: Cancelling a ride or delivery after a certain grace period may result in a cancellation fee, as described in the app at the time of booking. Disputes: If you believe you have been charged incorrectly, you must notify us within 30 days of the charge. Refunds, if issued, are at Ariv’s discretion and will generally be credited to the original payment method. 6. Ariv Marketplace – Third-Party Services Ariv Marketplace connects you with independent providers. Any transaction you enter into through the Marketplace is between you and that provider. Ariv is not a party to that contract and makes no warranties regarding the quality, safety, or legality of the provider’s services. Ratings and reviews on the Marketplace are user-generated and do not represent Ariv’s endorsement. You should review each provider’s own terms and policies before booking. 7. Intellectual Property The Ariv app, website, brand, logos, software, and all content (excluding user content) are owned by Ariv or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the app and website for your personal, non-commercial use as permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services without written consent. 8. SMS, Email, and Push Notifications By providing your phone number and email address, you consent to receive transactional communications (trip confirmations, receipts) and service-related updates. You may also opt in to receive promotional messages. Standard message and data rates may apply. You can manage your notification preferences in the app settings. 9. Disclaimers THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. ARIV DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICES AND ANY THIRD-PARTY PROVIDER OBTAINED THROUGH THEM IS AT YOUR OWN RISK. 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ARIV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ARIV’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO ARIV IN THE TWELVE MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY TO ALL CLAIMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. 11. Indemnification You agree to indemnify, defend, and hold harmless Ariv and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your misuse of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) the services provided by you if you act as a driver, courier, or Marketplace vendor. 12. Dispute Resolution and Arbitration Agreement Please read this section carefully — it significantly affects your legal rights. Informal Resolution: Before filing any formal claim, you and Ariv agree to attempt to resolve the dispute informally. You must send a written notice to info@arivondemand.com describing the nature of your claim. We will try to resolve it with you within 60 days. If not resolved, either party may proceed to arbitration. Binding Individual Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted on an individual basis, not as a class, consolidated, or representative action. You and Ariv waive any right to a jury trial and the right to participate in a class action lawsuit or class-wide arbitration. Exceptions: You may assert claims in small claims court if they qualify. Either party may also seek injunctive relief in court for intellectual property infringement or misuse of the Services. Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written notice to info@arivondemand.com. Opting out will not affect any other part of these Terms. 13. Termination We may suspend or terminate your account and access to the Services at any time, with or without cause, and without prior notice, if we believe you have violated these Terms or applicable law. Upon termination, your right to use the Services will immediately cease. All provisions that by their nature should survive termination (including payment obligations, disclaimers, indemnity, and limitations of liability) will survive. 14. Modifications to the Terms Ariv may update these Terms from time to time. If we make material changes, we will notify you through the app, by email, or by other means at least 30 days in advance. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Services and close your account before the changes take effect. 15. Governing Law These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles, except that the Federal Arbitration Act governs the arbitration agreement and its enforcement. 16. General Provisions Entire Agreement: These Terms, together with our Privacy Policy and any supplemental terms for specific features, constitute the entire agreement between you and Ariv regarding the Services. Severability: If any provision is found to be unenforceable, the remaining provisions will remain in full effect. No Waiver: Our failure to enforce any right or provision shall not constitute a waiver. Assignment: You may not assign these Terms or your account without our written consent.
